BOARD OF DIRECTORS MEETING MINUTES

April 6 2020 at 12 p.m. - Via Conference Call

  1. Call to Order/Establish a Quorum
    The meeting was called to order at 12:07 p.m. and a quorum was established with the presence of: Dan Cavey: President, Lisa Bevill, Edmundo Gonzalez, Gloria Dongara, Howard Hochrad, Chip Bifano and Karen Goff-Hill.

  2. Approve an additional $7,642 to cover the overrun on the Monument due to the extensive damage that was discovered – As we all know the damage was even worse than we thought, therefore worse than we budgeted to cover. The actual overage was even more, but Edmundo managed to do some negotiations to get the cost down and additional $10k or so. We originally approved $32,800 and the cost comes in at $40,442. There are two questions: 1) Can we not spend the money on something and keep it to the original number and 2) How does this impact the money we want to use for the cabana repairs. Discussion ensued.

    Dan Cavey made a motion to approve an additional $7,642 to cover the overrun on the Monument due to the extensive damage that was discovered. Edmundo Gonzalez seconded the motion, with two members opposing the vote. Motion carried.
     
  3. Approve $3,300 for stucco repair and painting the back gate walls with the same paint color as the entry monument – Discussion was held.

    Dan Cavey made a motion to approve $3,300 for stucco repair and painting the back gate walls with the same paint color as the entry monument. Karen Goff-Hill seconded, and motion carried by all.
     
  4. Approve a policy that allows MAY Management to send electronic copies of our financials to residents upon their request – We had a resident that wanted a copy of the financials and wanted an electronic copy. Our long standing (30 years) policy has been for these requests to be fulfilled at MAY Management offices where the resident could inspect what they wanted then either pay for paper copies or take photos of the papers. For whatever reason, the resident didn’t accept this process even though they were a former board member. Then before it was resolved, the COVID-19 closure of MAY Management offices complicated things. Cathy Cox (MAY Management branch manager) has since said that MAY Management would fulfill this request with electronic copies. We need to approve this as a standard practice or deem it as a temporary solution due to the current medical emergency situation. It will be good to get all of your questions answered by email so we can breeze through this on Monday. That doesn’t mean there won’t be conversation and discussion, but hopefully there won’t need to be a recitation of all of the background and details. Discussion ensued.

    Dan Cavey made a motion to approve a policy that allows MAY Management to send electronic copies of our partial financials to residents upon their request. Lisa Bevill seconded, and motion carried by all.
     
  5. Public Forum
    The Board entertained comments and questions from owners in attendance.

    With no further business to discuss, the meeting unanimously adjourned at 1 p.m.
